Introduction

Welcome to Cimanote. These Terms of Service ("Terms") govern your access to and use of the Cimanote web application at cimanote.com and the Cimanote Chrome browser extension (together, the "Service"), operated by Cimanote ("Cimanote," "we," "us," or "our").

By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

Cimanote is an independently developed product built and maintained. We aim to be straightforward and honest in how we operate, including in these Terms. If something is unclear, please reach out to us at legal@cimanote.com.

1. Eligibility

You must be at least 13 years of age to use Cimanote. By using the Service, you represent and warrant that you meet this age requirement.

If you are using Cimanote on behalf of an organisation or business, you represent that you have the authority to bind that organisation to these Terms, and references to "you" in these Terms include both you personally and that organisation.

Cimanote is not directed at children under 13. If we become aware that a user is under 13, we will terminate their account and delete their data promptly.

2. Your Account

2.1 Authentication via Google

Cimanote uses Google OAuth as its sole authentication method. To create and access a Cimanote account, you must have a valid Google account. Cimanote does not manage passwords independently; your Cimanote access is tied to your Google credentials.

2.2 Account Security

You are responsible for maintaining the security of your Google account, including enabling two-factor authentication and keeping your credentials confidential. Cimanote is not liable for any loss or damage arising from unauthorised access to your Google account or, as a consequence, your Cimanote account.

If you believe your account has been compromised, notify us at legal@cimanote.com and take immediate steps to secure your Google account.

2.3 Accurate Information

By creating an account, you agree to provide accurate information and to keep it up to date. You may not impersonate another person or use a Google account you are not authorised to use.

2.4 One Account Per Person

Each person may maintain only one Cimanote account. Creating multiple accounts to circumvent limits, promotions, or suspensions is prohibited.

3. The Service

Cimanote is a web-based note-taking application. Core features include creating and organising notes and notebooks, a Chrome browser extension for clipping content from the web, and cloud storage of your notes accessible from any browser.

We work to keep the Service available and useful, but we do not guarantee uninterrupted uptime, a fixed feature set, or that any particular feature will remain available indefinitely. We will do our best to communicate significant changes in advance.

4. Subscriptions and Payments

4.1 Free Tier

Cimanote offers a Free tier that is available to all registered users permanently, including after any trial period ends. The Free tier includes core note-taking functionality with certain feature limitations.

4.2 Pro Trial

Every new Cimanote account receives one full year of Pro features at no cost, with no credit card required. The Pro trial begins when you create your account. At the end of the trial period, your account automatically transitions to the Free tier unless you subscribe to a paid Pro plan.

4.3 Founding Member Discount

The first 500 registered users of Cimanote qualify for the Founding Member program. Founding Members receive:

  • Their first year is completely free, with no credit card required
  • A permanent 30% lifetime discount on any paid Pro subscription, applied automatically when they upgrade after their free year
  • Exclusive benefits reserved for Founding Members, which will be announced over time

The lifetime discount applies to the base Pro pricing, is contingent on maintaining an active Pro subscription, and is non-transferable.

4.4 Payments and Billing

Payments are processed by Stripe. Cimanote does not store your payment card data; all payment information is handled directly by Stripe under their own security and privacy standards.

By subscribing to a paid plan, you authorize Cimanote (via Stripe) to charge your payment method regularly. You can manage your subscription, update payment methods, and view billing history through the Stripe billing portal accessible from your Cimanote Settings.

4.5 Cancellation

You may cancel your Pro subscription at any time through the billing portal in your Settings. Cancellation takes effect at the end of the current billing period. After cancellation, your account returns to the Free tier. We do not delete your data simply because you cancel a paid subscription.

4.6 Refunds

We do not provide refunds for partial billing periods. If you cancel partway through a billing cycle, you retain access to Pro features until the end of that cycle, but no partial refund is issued. Exceptions apply where required by applicable consumer protection law in your jurisdiction.

4.7 Price Changes

We reserve the right to change subscription pricing. We will provide at least 30 days' advance notice of any price changes via in-app notification and/or email. Continued use of a paid subscription after the notice period constitutes acceptance of the new pricing. If you do not agree to a price change, you may cancel your subscription before it takes effect.

5. Your Content

5.1 You Own Your Content

You retain full ownership of all notes, notebooks, files, and other content you create or store in Cimanote ("Your Content"). These Terms do not transfer ownership of Your Content to Cimanote.

5.2 License to Cimanote

By storing Your Content in Cimanote, you grant Cimanote a limited, non-exclusive, royalty-free license to store, process, and display Your Content solely to the extent necessary to provide and operate the Service for you. This license ends when you delete the content or close your account (subject to our data deletion timelines).

5.3 No AI Training

Cimanote does not use the content of your notes, notebooks, or uploaded files to train machine learning or artificial intelligence models. Your notes are your notes.

5.4 Your Responsibility for Content

You are solely responsible for Your Content and for ensuring that it complies with applicable laws and does not infringe the rights of third parties. This includes, but is not limited to:

  • Content you create directly in Cimanote
  • Content you clip from the web using the Cimanote Chrome extension

5.5 Web Clipping and Copyright

The Cimanote Chrome extension is a technical tool that allows you to save excerpts or full pages from websites into your notes. You are responsible for ensuring that your use of clipped content complies with applicable copyright law, the terms of service of the source website, and any other legal requirements. Cimanote provides the clipping tool; we are not responsible for how you use it or for any copyright infringement arising from your clipping activity.

5.6 Backups

Cimanote makes reasonable efforts to preserve your data, but we are not a backup service. You are responsible for maintaining your own backups of important content. We disclaim liability for data loss (see Section 9).

6. Acceptable Use

You agree to use Cimanote only for lawful purposes and in a manner consistent with these Terms. The following activities are strictly prohibited:

  1. Illegal content or activities — storing, distributing, or facilitating any content or activity that violates applicable law.
  2. Malware and harmful code — uploading or distributing viruses, spyware, ransomware, or any other malicious code.
  3. Spam — using Cimanote to send unsolicited commercial communications or to facilitate spam campaigns.
  4. Unauthorized access — attempting to access, read, modify, or delete the accounts or data of other Cimanote users.
  5. Reverse engineering — decompiling, disassembling, or otherwise attempting to derive the source code of the Cimanote application or its underlying systems.
  6. Automated scraping — using bots, crawlers, or automated tools to extract data from Cimanote without our written permission.
  7. Harassment and abuse — using Cimanote to harass, threaten, intimidate, or abuse any person.
  8. Hate speech — creating or storing content that promotes violence, discrimination, or hatred based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics.
  9. Impersonation — impersonating Cimanote, its developer, or any other person or entity.
  10. Intellectual property violations — uploading or distributing content that infringes patents, trademarks, copyrights, or other intellectual property rights of third parties.

We reserve the right to remove content or suspend accounts that violate these rules, at our sole discretion.

7. Intellectual Property

7.1 Cimanote's Property

The Cimanote application, including its software, source code, user interface, design, graphics, logos, and all related documentation, is owned by Cimanote and is protected by copyright, trademark, and other applicable intellectual property laws.

The name "Cimanote" and the Cimanote logo are trademarks of Cimanote. You may not use these marks without our prior written permission.

7.2 Restrictions

You may not copy, reproduce, distribute, modify, create derivative works of, or otherwise exploit Cimanote's software or proprietary materials without our express written consent. Nothing in these Terms grants you any right, title, or interest in Cimanote's intellectual property other than the limited right to use the Service as described herein.

7.3 Feedback

If you submit feedback, suggestions, or ideas about Cimanote, you grant us the right to use that feedback without restriction or compensation to you. We appreciate input from our users and may incorporate it into the Service at our discretion.

8. Termination

8.1 Closing Your Account

You may close your Cimanote account at any time from the Settings page. Upon account closure, your data will be permanently deleted within 30 days. After deletion, your content cannot be recovered.

8.2 Termination by Cimanote

We reserve the right to suspend or terminate your account if:

  • You violate these Terms of Service
  • We detect fraudulent, abusive, or illegal activity associated with your account
  • Your Pro subscription payment fails and remains unresolved after notice
  • Your account has been inactive for 12 or more consecutive months on the Free tier

In most cases, we will provide 30 days' advance notice before terminating your account, giving you time to export your data. However, we may suspend or terminate accounts immediately and without notice in cases of severe violations, including illegal activity, harassment, or security threats.

8.3 Effect of Termination

Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including Sections 5, 7, 9, 10, 11, and 14) will continue to apply after termination.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND.

To the fullest extent permitted by applicable law, Cimanote disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and availability. Specifically:

  • We do not guarantee that the Service will be uninterrupted, error-free, or available at any particular time.
  • We do not guarantee the accuracy, completeness, or integrity of data stored in the Service.
  • We do not guarantee that any particular feature will remain available or unchanged.
  • We do not warrant that the Service is free of security vulnerabilities.

You use Cimanote at your own risk. You should maintain independent backups of any important data.

Some jurisdictions do not allow the exclusion of implied warranties. If applicable law in your jurisdiction limits or prohibits such exclusions, this disclaimer applies to the maximum extent permitted.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

Cimanote's total liability to you for any claim arising from or related to these Terms or your use of the Service is limited to the greater of:

  • The total fees you paid to Cimanote in the 12 months immediately preceding the claim, or
  • $100.00 USD

Cimanote will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost data, loss of goodwill, or business interruption, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages. If applicable law in your jurisdiction restricts these limitations, Cimanote's liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Cimanote and its developer(s), officers, contractors, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your Content and any claim that Your Content violates the rights of any third party
  • Your breach of these Terms
  • Your violation of any applicable law or regulation
  • Your use of the Service in a manner not authorized by these Terms

12. Privacy and Data

Your privacy matters to us. How we collect, use, and protect your personal information is described in our Privacy Policy, available at cimanote.com/privacy. By using the Service, you also agree to the Privacy Policy.

Key points:

  • We use Google OAuth for authentication and receive basic profile information (name, email address, profile photo) from Google.
  • We use Stripe to process payments; Stripe receives payment data directly and their privacy policy governs that data.
  • We do not sell your personal data.
  • We do not use your note content to train AI models or for advertising.

13. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the date of the most recent revision.

For material changes — those that meaningfully affect your rights or obligations — we will:

  • Provide at least 14 days' advance notice before the changes take effect, via in-app notification and/or email to the address associated with your account.

Your continued use of the Service after the notice period constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may close your account before the changes take effect.

Minor, non-material updates (such as clarifications or corrections) may take effect immediately.

14. Governing Law and Disputes

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in San Mateo County, California, and the parties consent to the personal jurisdiction and venue therein.

We encourage you to contact us first at legal@cimanote.com if you have a dispute. Many issues can be resolved quickly without formal legal proceedings.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cimanote regarding the Service and supersede all prior agreements or understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. All other provisions remain in full force and effect.

15.3 No Waiver

Our failure to enforce any provision of these Terms at any time does not constitute a waiver of our right to enforce that provision in the future.

15.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. Cimanote may assign its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets, and will provide notice of such assignment.

15.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

15.6 Force Majeure

Cimanote is not liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, internet or infrastructure outages, government actions, or third-party service failures (including Google or Stripe).
